Terms of Use
Pandolor Inc. (the “Company”) hereby sets forth these Terms of Use (the “Terms”) governing the conditions for use of the online service titled “Heavenly Guitars” provided by the Company (the “Service”)
Article 1 (Application and Amendment of the Terms)
These Terms shall apply to the use of the Service between the Company and users of the Service (the “Users”)
The Company may amend these Terms without obtaining individual consent from Users if the Company determines that such amendment is not contrary to the purpose of the contract and is reasonable in light of the necessity of the amendment, the reasonableness of the amended content, and other circumstances relating to the amendment. In such case, the Company shall notify Users of the amendment by a method the Company deems appropriate with a reasonable advance notice period. If a User uses the Service after the amendment, such use shall be deemed the User’s agreement to the amended Terms
Article 2 (Application for Use)
A person wishing to use the Service (the “Applicant”) shall agree to these Terms and apply for registration by the method specified by the Company. A service agreement shall be formed and the Applicant shall become a User at the time the Company accepts such application
Applicants and Users shall promptly notify the Company of any changes to their registered information by the method prescribed by the Company
The Company shall not be liable in any way for any damage incurred by a User due to the Applicant’s or User’s failure to make the notification described in the preceding paragraph, including cases where communications or notices from the Company do not reach the User or are delayed
If the Company determines that an Applicant falls under any of the following items, the Company may refuse to accept the application for registration
(1) The Applicant has submitted false, fraudulent, or erroneous information
(2) The Applicant has previously registered using the same email address
(3) The Applicant is a person whose eligibility to use the Service or any service provided by the Company was suspended or terminated in the past
(4) There has been non-payment of fees, fraudulent payment, or other improper payment activity
(5) The Company determines that the Applicant does not intend to use the Service or that the application is for an improper purpose
(6) The Company determines that the application may interfere with the operation of the Service
(7) The Applicant falls under any category of anti-social forces set forth in Article 14 or has previously violated Article 14
(8) The Company reasonably determines that the provision of the Service would be significantly hindered in the course of business operations or from a technical standpoint, or there is a risk thereof
Article 3 (Withdrawal)
A User may apply to withdraw from the Service by the method prescribed by the Company
Upon receiving an application for withdrawal, the Company shall promptly invalidate the User’s registered information and terminate the User’s eligibility to use the Service
Even if the User withdraws or the User’s eligibility is terminated pursuant to the preceding two paragraphs, fees and other monetary amounts already paid by the User shall not be refunded, except where otherwise required by applicable laws and regulations or where the Company has acted with intent or gross negligence
Article 4 (Restriction of Eligibility and Termination of User Registration)
If the Company determines that a User falls under any of the following items, the Company may, without prior notice, take measures the Company deems appropriate, including suspension or restriction of eligibility to use the Service or termination of the User’s registration
(1) The User has provided fraudulent or false information in the application under Article 2
(2) The User has engaged in any act falling under the prohibited acts set forth in Article 9
(3) Delay in payment of fees, fraudulent payment, or other misconduct is confirmed
(4) The User has violated these Terms or rules prescribed by the Company
(5) The User has engaged in nuisance conduct, harassment, or obstruction of business against the Company or other Users
(6) The User is found to be involved with anti-social forces
(7) A petition has been filed against the User for suspension of payments, commencement of bankruptcy proceedings, commencement of civil rehabilitation proceedings, commencement of corporate reorganization proceedings, or any similar legal insolvency proceedings
(8) The User is a minor under the age of 18 and has not obtained the consent of a person with parental authority or other legal representative
(9) The User has died
(10) The User has lost legal capacity
(11) The User repeatedly makes substantially similar inquiries excessively, coerces the Company into unreasonable obligations or demands, or otherwise engages in conduct that interferes with the Company’s business, including harassment
(12) The Company determines that the operation of the Service would be hindered
If the User’s eligibility is terminated, the User shall forfeit the benefit of time and immediately pay any obligations owed to the Company
If eligibility is restricted or terminated for reasons attributable to the User, the Company shall have no obligation to refund any fees already paid
Article 5 (Modification, Addition, and Discontinuation of the Service)
The Company may, for any reason, without prior notice to Users, modify or add to the content of the Service in whole or in part, or suspend or discontinue the provision of the Service. However, if the Company modifies, adds to, or discontinues the Service in a manner that involves amendment of these Terms, the Company shall notify Users in advance by a method the Company deems appropriate or post such notice within the Service
The Company shall not be liable in any way even if any rights acquired by Users incidental to the Service fluctuate in value or are lost due to modification, addition, or discontinuation of the Service in whole or in part
Article 6 (Use of the Service)
Only Users whose use is approved by the Company may use the Service
Users shall use the Service in accordance with these Terms and any rules separately prescribed by the Company
Users shall be responsible for their conduct in connection with use of the Service and shall not cause nuisance, inconvenience, or damage to other Users, third parties, or the Company
If a User causes damage to other Users, third parties, or the Company in connection with use of the Service, or if a dispute arises between the User and other Users or third parties, the User shall resolve the matter at the User’s own responsibility and expense
Article 7 (Fees and Payment)
If a User uses any paid services within the Service, the User shall pay the fees determined by the Company by the method specified by the Company
The Company may change the fees set forth in the preceding paragraph and the payment methods by notifying Users in advance by a method the Company deems appropriate. Details of such changes may be substituted by posting on the Service’s service site or by any other method prescribed by the Company
Article 8 (Ownership of Rights)
Copyrights, trademark rights, data, and other intellectual property rights relating to the Service belong to the Company or the legitimate right holders
Users shall not use content provided in the Service beyond the scope of use prescribed by the Company
If a User violates this Article and causes damage to the Company or a third party, the User shall compensate for such damage at the User’s own responsibility and expense and shall not cause any nuisance or damage to the Company
Article 9 (Prohibited Acts)
In using the Service, Users shall not engage in any of the following acts
(1) Infringing intellectual property rights, property rights, privacy rights, portrait rights, or any other rights of the Company or any third party
(2) Discriminating against, defaming, insulting, or otherwise damaging the honor or credibility of others
(3) Acts leading to crimes such as fraud, child prostitution, or illegal trading of bank accounts or mobile phones
(4) Transmitting, posting, or displaying obscene materials, child pornography, or materials constituting child abuse, including images, videos, audio, or documents, selling media containing such materials, or displaying or transmitting advertisements that suggest such transmission, posting, display, or sale
(5) Acts leading to drug-related crimes or abuse of controlled substances or dangerous drugs, advertising unapproved or expired pharmaceuticals, or selling pharmaceuticals whose sale is prohibited on the internet
(6) Advertising money lending or soliciting the conclusion of loan agreements
(7) Establishing or soliciting an endless chain scheme (pyramid scheme)
(8) Transmitting or posting information contrary to fact, or unlawfully rewriting, falsifying, tampering with, or deleting information
(9) Acts related to public office elections
(10) Acts for commercial purposes through or in connection with the Service, or acts for preparation thereof
(11) Interfering with the operation of the Service or facilities such as servers managed by third parties
(12) Sending advertising or solicitation messages without permission, obstructing the sending or receiving of messages by other Users or third parties by sending a large volume of messages, or sending messages that may cause disgust to recipients
(13) Using or providing harmful programs such as computer viruses, or supporting, promoting, or recommending them
(14) Impersonating another User to use the Service
(15) Causing, undertaking, brokering, or inducing (including requesting others) illegal acts (including but not limited to illegal betting or gambling, transfer of firearms, illegal manufacture of explosives, provision of child pornography, forgery of official documents, murder, or threats)
(16) Inducing or soliciting suicide, or introducing means of suicide that are highly likely to harm other Users or third parties
(17) Violating laws or public order and morals (including prostitution, violence, or cruelty) or causing disadvantage to other Users or third parties
(18) Encouraging any acts set forth in the preceding items
(19) Acts that the Company reasonably determines may fall under any of the preceding items
(20) Analyzing or tampering with data relating to the Service, or using unauthorized programs to cause operations different from the intended operation
(21) Intentionally exploiting a defect that occurred within the Service or disseminating it to others
(22) Acts that violate Article 14, paragraph 1 or paragraph 2
(23) Other acts that the Company reasonably determines to be inappropriate
In addition to the preceding paragraph, in using the Service, Users shall not engage in any of the following acts or post content that falls under any of the following
(1) Acts for the purpose of meeting persons with whom the User has no prior acquaintance
(2) Clearly malicious pranks
(3) Providing information that can identify an individual user or a third party
(4) Political activities or religious activities
(5) Excessive communications that may hinder normal operation of the system
(6) Acts that cause trouble to other Users
(7) Acts that deviate from the purpose of the Service or interfere with operation of the Service
(8) Other matters the Company deems inappropriate
Article 10 (Management of User IDs and Passwords)
Users shall properly manage, at their own responsibility, IDs and passwords granted by the Company or set by Users in connection with use of the Service (collectively, “Credentials”). In setting Credentials, Users shall take care not to include information that could identify an individual, such as names, addresses, or contact details
Users shall not disclose, lend, transfer, change the name on, buy or sell, share, or provide as collateral their Credentials to any third party
The Company shall not be liable for any damages incurred by Users or third parties due to insufficient management of Credentials, errors in use, or use by a third party, except where the Company has acted with intent or gross negligence
If a User suspects that their Credentials may have been known by a third party or becomes aware that their Credentials are being used improperly by a third party, the User shall immediately notify the Company and follow the Company’s instructions if any
If the Company determines that there is a risk that a User’s Credentials may be used by a third party, or if the Company otherwise deems it necessary, the Company may take measures such as suspending use of the Credentials or requiring changes thereto
Article 11 (Handling of User Information)
The Company shall handle User information obtained in connection with use of the Service appropriately in accordance with the Company’s Privacy Policy (Privacy Policy: https://www.heavenly-guitars.com/privacy-policy)
The Company shall not disclose or provide User information to any third party except in any of the following cases
Where the User has consented to disclosure or provision of their information
Where the Company statistically processes the usage status of the Service and provides it to a third party in a form that does not identify individuals
Where disclosure is requested pursuant to laws and regulations
Where the Company determines that disclosure is necessary to protect the rights, property, or safety of the Company, other Users, or third parties
Where disclosure is made to subcontractors within the scope necessary for provision of the Service
Article 12 (Maintenance of the Service)
In order to maintain the Service in good operating condition, the Company may temporarily suspend or interrupt provision of the Service in whole or in part without prior notice to Users if any of the following applies
Where the Company performs periodic maintenance or emergency maintenance of the Service system
Where provision of the Service becomes difficult due to fire, power outage, natural disaster, or due to interference by a third party
Where the Company otherwise determines it is unavoidable
Article 13 (Exclusion of Anti-Social Forces)
Users and Applicants represent and warrant to the Company that, at present and in the future, they do not fall under any of the categories of anti-social forces (as defined under Japanese law), including but not limited to organized crime groups, members thereof, persons who have ceased to be members thereof within the past five years, quasi-members, related companies, corporate extortionists, groups or individuals claiming to conduct social movements, or other similar persons (collectively, “Anti-Social Forces”)
Users and Applicants represent and warrant to the Company that, at present and in the future, they do not fall under any of the following items
(1) Having a relationship in which Anti-Social Forces are recognized as controlling management
(2) Having a relationship in which Anti-Social Forces are recognized as substantially involved in management
(3) Using Anti-Social Forces for the purpose of obtaining unjust benefits for oneself or a third party, or for the purpose of causing damage to a third party
(4) Being involved in providing funds or other benefits to Anti-Social Forces
(5) Having any other relationship or involvement equivalent to any of the preceding items
Users and Applicants represent and warrant that they shall not, either by themselves or through a third party, engage in any of the following acts toward the Company
(1) Violent demands
(2) Unreasonable demands beyond legal responsibility
(3) Threatening behavior or use of violence
(4) Spreading rumors, using deception, or using force to damage the Company’s credibility or obstruct the Company’s business
(5) Other acts equivalent to any of the preceding items
If the Company finds that a User or Applicant has violated any provision of this Article, the Company may immediately terminate the service agreement with such User or terminate such User’s eligibility without any prior demand or notice. In such case, the Company shall not be liable for any damages incurred by such User, and such User shall compensate the Company for any damages incurred by the Company
Article 14 (Disclaimer)
The Company shall not be liable for any damages arising from interruption, delay, or suspension of the Service
The Company shall not be liable for any trouble or disputes between Users or between a User and a third party
Article 15 (Damages)
If a User incurs damages due to the Company’s intent or gross negligence in connection with the Service, the Company shall compensate such User for the damages incurred in accordance with applicable laws and regulations
Except as set forth in the preceding paragraph, if a User incurs damages due to the Company’s negligence (excluding gross negligence) in connection with the Service, the scope of the Company’s liability for damages shall be limited to the total amount actually paid by the User to the Company as consideration for use of the Service during the past one year retroactively from the time the damages occurred, and shall be limited to direct and ordinary damages actually incurred by the User
The Company shall not be liable for any damages arising from special circumstances, lost profits, or indirect damages, regardless of foreseeability
Article 16 (Assignment of Claims)
The Company may assign to a third party any claims it has against Users, including claims for service fees, and Users hereby consent to such assignment in advance
Article 17 (Assignment of Rights and Obligations, Governing Law, and Jurisdiction)
Users shall not assign, transfer, succeed to, pledge as collateral, or otherwise dispose of their status under these Terms or any rights or obligations under these Terms without the Company’s prior written consent
In connection with a succession of the business relating to the Service (including business transfer, company split, or other forms), the Company may assign or have a third party succeed to all or part of its status as the provider of the Service and all or part of its rights and obligations under these Terms. In such case, Users hereby consent in advance
If any issue arises in connection with use of the Service that cannot be resolved by these Terms or any rules separately prescribed by the Company, the Company and the User shall consult in good faith to resolve the issue
These Terms and the use of the Service shall be governed by the laws of Japan
If any dispute arises between the Company and a User in connection with the Service and cannot be resolved through consultation, the Tokyo District Court shall have exclusive agreed jurisdiction as the court of first instance
Supplementary Provisions
These Terms are revised and shall apply from March 23, 2026.

In addition to the preceding paragraph, in using the Service, Users shall not engage in any of the following acts or post content that falls under any of the following

Users and Applicants represent and warrant to the Company that, at present and in the future, they do not fall under any of the categories of anti-social forces (as defined under Japanese law), including but not limited to organized crime groups, members thereof, persons who have ceased to be members thereof within the past five years, quasi-members, related companies, corporate extortionists, groups or individuals claiming to conduct social movements, or other similar persons (collectively, “Anti-Social Forces”)
Users and Applicants represent and warrant to the Company that, at present and in the future, they do not fall under any of the following items
(1) Having a relationship in which Anti-Social Forces are recognized as controlling management
(2) Having a relationship in which Anti-Social Forces are recognized as substantially involved in management
(3) Using Anti-Social Forces for the purpose of obtaining unjust benefits for oneself or a third party, or for the purpose of causing damage to a third party
(4) Being involved in providing funds or other benefits to Anti-Social Forces
(5) Having any other relationship or involvement equivalent to any of the preceding items
Users and Applicants represent and warrant that they shall not, either by themselves or through a third party, engage in any of the following acts toward the Company
(1) Violent demands
(2) Unreasonable demands beyond legal responsibility
(3) Threatening behavior or use of violence
(4) Spreading rumors, using deception, or using force to damage the Company’s credibility or obstruct the Company’s business
(5) Other acts equivalent to any of the preceding items
If the Company finds that a User or Applicant has violated any provision of this Article, the Company may immediately terminate the service agreement with such User or terminate such User’s eligibility without any prior demand or notice. In such case, the Company shall not be liable for any damages incurred by such User, and such User shall compensate the Company for any damages incurred by the Company
Article 14 (Disclaimer)
The Company shall not be liable for any damages arising from interruption, delay, or suspension of the Service
The Company shall not be liable for any trouble or disputes between Users or between a User and a third party
Article 15 (Damages)
If a User incurs damages due to the Company’s intent or gross negligence in connection with the Service, the Company shall compensate such User for the damages incurred in accordance with applicable laws and regulations
Except as set forth in the preceding paragraph, if a User incurs damages due to the Company’s negligence (excluding gross negligence) in connection with the Service, the scope of the Company’s liability for damages shall be limited to the total amount actually paid by the User to the Company as consideration for use of the Service during the past one year retroactively from the time the damages occurred, and shall be limited to direct and ordinary damages actually incurred by the User
The Company shall not be liable for any damages arising from special circumstances, lost profits, or indirect damages, regardless of foreseeability
Article 16 (Assignment of Claims)
The Company may assign to a third party any claims it has against Users, including claims for service fees, and Users hereby consent to such assignment in advance
Article 17 (Assignment of Rights and Obligations, Governing Law, and Jurisdiction)
Users shall not assign, transfer, succeed to, pledge as collateral, or otherwise dispose of their status under these Terms or any rights or obligations under these Terms without the Company’s prior written consent
In connection with a succession of the business relating to the Service (including business transfer, company split, or other forms), the Company may assign or have a third party succeed to all or part of its status as the provider of the Service and all or part of its rights and obligations under these Terms. In such case, Users hereby consent in advance
If any issue arises in connection with use of the Service that cannot be resolved by these Terms or any rules separately prescribed by the Company, the Company and the User shall consult in good faith to resolve the issue
These Terms and the use of the Service shall be governed by the laws of Japan
If any dispute arises between the Company and a User in connection with the Service and cannot be resolved through consultation, the Tokyo District Court shall have exclusive agreed jurisdiction as the court of first instance
Supplementary Provisions
These Terms are revised and shall apply from March 23, 2026.
